‏We, the BUYER, irrevocably confirm that we will order and direct our Bank to endorse automatic payment orders to the Beneficiaries named below; furthermore we, the BUYER confirm that all Pay Orders shall automatically transfer funds as directed into each Beneficiary's designated Bank Account within one (01) day after the date of closing and completion of each and every shipment of the product during the contract term plus any/or extensions and rollovers of the specified contract.

‏For the purpose of clarity, we confirm that the closing and completion of each and every shipment shall be deemed to take place when the TTR cash wire transfer (or any such similar financial instrument) issued by the Buyer has been drawn down at the counters of the issuing bank and deposited into the Seller's account.

‏We, the BUYER, further agree to provide all Beneficiaries with written evidence of the Pay Orders lodged with our Bank together with acknowledgements of their acceptance, as well as evidence of the successful transfer transaction of the agreed upon funds into the respective Beneficiaries' accounts.

‏Furthermore our bank shall be instructed to provide duly signed and stamped acknowledgement of this instruction as set out below and forming part of this Agreement.

‏It is understood that for the purposes of this Master Fee Protection Agreement our Bank shall be the same bank and branch accepting the TTR cash wire transfer payments for the product and as nominated in the aforementioned contract which this MFPA acts as an integral part thereof.

‏This Master Fee Protection Agreement covers the initial contract and shall include any renewals, extensions, rollovers, additions or any new or transfer contract anyhow originated from this transaction because of the above intermediaries, or changing codes of the initial contract entered into between the Buyer and Seller.

‏This Master Fee Protection Agreement and any subsequently issued Pay Orders shall be assignable, transferable and divisible and shall not be amended without the express written and notarized consent of the receiving Beneficiary.

‏All parties agree neither to circumvent nor to attempt to circumvent either for the transaction of this current contract or in the future for a period of five (05) years from the date of the execution of this Master Fee Protection Agreement. This document binds all parties, their employees, associates, transferees, and assignees or designates.

‏All faxed and /or e-mailed signatures shall be considered as original signatures for the purpose of binding all parties to this Agreement. This document may be signed in any number of counterparts, all of which shall be taken together and shall constitute as being one and the same instrument.

‏Any party may enter into this document and the agreement constituted thereby by signing any such counterpart. Any times, dates or period mentioned in any provision of this document shall only be amended by agreement in writing and signed off by all the parties concerned

‏Furthermore we agree that any and all commissions due, shall be paid to the Beneficiary as a result of any extension or rolls of the contract and that we shall effect all necessary documentation with our Bank without any undue delays to ensure such commissions are paid within the terms of this Agreement.

‏PARTIAL INVALIDITY

‏The illegality, invalidity or non-enforceability provision of this document under the laws of any jurisdiction shall not affect its legality, validity or enforceability under the law of any other jurisdiction or provision.

‏GOVERNING LAW AND JURISDICTION

‏ARBITRATION

‏All parties agree to refer any disputes between the parties arising out of, or in connection with this Agreement, including any questions regarding its existence, validity or termination to arbitration in accordance with the arbitration rules of the International Arbitration Center (I.A.C.). The appointed Arbitrator shall hold the proceedings in any country chosen by the parties and the rules of the (I.A.C.) shall apply.

‏All arbitration proceedings shall be conducted in English Language. The tribunal shall consist of one (1) arbitrator to be appointed by the President of the (I.A.C.).

‏The arbitrator shall have the authority to render his award on the basis of equity principles consistent with the explicit terms of this agreement. Such awards shall include a decision binding upon the parties, directing them to take or refrain from taking specific action with respect to the matter in dispute or disagreement.

‏Any award and decision taken by the Arbitrator shall be final and binding on all parties and the parties hereby exclude any right of application or appeal to any court in connection with any question of law arising in the course of arbitration or in respect of any award made. All parties shall accept all decisions of the tribunal as being final and binding.

‏This Agreement is issued, agreed and accepted by the BUYER as the Buyer's Master Fee Protection Agreement, hereby recording names and amounts of each and every Company, individual alike, who have contributed to the successful conclusion of the described transaction and in doing so are entitled to an apportionment of commissions set aside within this transaction.

Buyer Selection Process

Cif Basis Transaction Procedures 1

1. Buyer Problem Purchase Order On Receipt Accept seller's soft offer.

2. The seller issues a commercial invoice (Ci) for the first trial order, for review and signature of the buyer.

3. The buyer signs the Commercial Invoice (Ci) to the seller.

4. The seller records and certifies the signed commercial invoice (Ci).

5. The seller sends a Standardized Commercial Invoice (Ci) and under Partial POP documents to buyers as listed below:

• Certificate of original.

• Product passport.

• Statement of product availability.

• Export license.

6. The buyer issues his financial guarantees (SBLC MT 76 0 or DLC 700) to cover the first shipment to the seller's bank within 5 working days.

7. If the buyer fails to issue the SBLC or DLC within 5 working days, the substitute buyer must ensure that 4% of the wire TT of the total contract value is deposited into the seller's bank credit account as a payment to guarantee the allocation that will be deducted from the first shipment.

8. Upon confirmation of SBLC / DLC or 4% TT Wire Deposit Guarantee to seller's bank, seller will issue 2% Performance Bonds, and complete shipping documents via SWIFT Bank of the bank as shown below:

• Permit to export products.

• Certificate of ownership of the allotment

• Transneft contract to transport product to port of loading

• Port storage agreement.

• Charter party agreement to transfer the product to the outlet disposal.

• Delivery of storage tanks.

• SGS quality and quantity certification.

• Bill of lading.

• Questionnaire ship 88.

9. The shipment begins and upon the arrival of the vessel carrier at the port of discharge, the buyer performs an SGS inspection and works SBLC / DLC or pays for the full shipment via TT Wire or MT 1.

Cif Basis Transaction Procedures 2

1. The buyer issues an irrevocable company purchase order.

2. Seller issues draft open contract for amendments.

3. The two parties confirm the draft contract by endorsing it.

4. Seller to Buyer's case The transfer law of buyer's support to facilitate the transfer of provisions to the buyer's name. The buyer insures the allocation for a year, including the trial order.

5. The seller officially registers and certifies the contract with the ministry and the concerned authorities.

6. The seller appoints and signs a charter party agreement with the shipping company. Buyer summarizes the shipping schedule.

7. The two parties submit a legal contract in the concerned banks. The seller's bank sends the buyer's bank via Swift Full POP along with the 2% PB, within (five) banking days to the seller's bank that receives the letter of credit (LC), the seller opens the 2% performance bond in favor of the buyer and this activates the buyer's letter of credit.

8. Handover begins and will be executed according to the contract.

9. Seller pays all brokers within 48 hours.

Cif Basis Transaction Procedures 3

1. The buyer's company sends the letter of intent (LOI) on top of the company's official letters to the seller.

2. Seller company issue FCO to buyer. Buyer's company signs FCO stamp and returns.

3. A selling company issues the draft contract, the two parties sign and stamp the current contract and replace the copies electronically.

4. The seller's company submits its permit / export certificate, the company also provides company registration information and documentary details of its storage reservation upon unloading the port when confirming the seller's document.

5. The selling company officially registers and legalizes the contract with the concerned authorities to facilitate the allocation reservation, obtain the transaction code, and secure legal approval for the transfer of ownership / allocation of the company name.

6. The seller's company sends an electronic copy of the authenticated and secured POP documents along with the standardized contract to the purchasing company. The partial pop documents that will be sent alongside the statutory contract include:

• Certificate of origin

• Statement of product availability

Product quality passport (immersion test analysis)

7. A seller company designates a reliable shipping company and a world-famous logistic company, on the part of the seller and the terminated buyer will sign a Charter Party Agreement (CPA) with the shipping and logistics company (A three-party), along with the Marine Insurance Policy (MEP). The seller and the buyer pay for the freight leased with the designated shipping company to transport the product to the buyers designated port of discharge.

8. A buyer company visits the seller's company and the refinery in Moscow to obtain TTM and confirm all the details and documents also to do the inspection at the loading port if necessary.

9. The seller's company issues copies of the pop-and-freight documents to the buyers company

• A legal refinery contract project.

• A copy of the agreement of the party to the charter to transfer the product to the outlet disposal

• A copy of the shipment schedule document

• Product analysis report

• Bill of lading

Delivery of tanks

• The Q bowl

• SGS report.

• Product certification.

10. The buyer's bank sends the documentary letter of credit (IRLC) issued by the buyer's bank to the seller's bank for the value against the first full month and this capital has frozen.

11. The seller's bank sends through express proof of the original and complete product (pop) along with the performance bond of 2% to the buyer's bank. Upon receipt, the buyer's bank issues the irrevocable documentary letter of credit which is issued to the seller's bank immediately.

12. The seller's bank will confirm to the seller and the buyer that a no-frills documentary letter of credit has been accepted and shipment commences as stipulated in the CIF Delivery Contract.

13. Payment of the product will be made by the buyer's bank by T / T MT 103 Wire transfer to the seller's bank after checking the CI Q / SGS at the port of discharge and delivery to the buyer's bank the documents required under the contract.

14. The seller releases brokers' commission immediately
